A FREE SIGN-UP KIOSK IS LOCATED AT THE GATE, OUTSIDE THE TICKET-CHECK POINT, AND ANY PERSON MAY ENTER THERE AT NO CHARGE WITHOUT AN ADMISSION TICKET. SEE SECTION 3. OPEN ONLY TO LEGAL RESIDENTS OF THE FIFTY (50) UNITED STATES AND THE DISTRICT OF COLUMBIA WHO ARE 18 YEARS OF AGE OR OLDER. YOU DO NOT NEED TO BE PRESENT AT THE DRAWING TO WIN. 1. Sweepstakes Timing: The [LS Fest East 2026 Powertrain Products Engine Giveaway] (“Sweepstakes”) begins when the LS Fest East gates open at [7:00 A.M.] Central Daylight Time (“CDT”) on Saturday, September 12, 2026 and ends at 6:00 P.M. CDT that same day (the “Sweepstakes Period”). Entries are accepted on Saturday, September 12, 2026 only. No entries will be accepted before the gates open or after 6:00 P.M. CDT. One (1) Grand Prize Winner will be selected in a single random drawing conducted live at approximately 6:15 P.M. CDT on Saturday, September 12, 2026, in “The Arena” at the LS Fest East venue in Bowling Green, Kentucky. Sponsor’s clock is the official timekeeper of the Sweepstakes.
2. Eligibility: The Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia who are at least 18 years of age and the age of majority in their jurisdiction of residence as of the date of entry, and who have a valid physical street address in the United States. The Sweepstakes is not open to residents of any jurisdiction outside the United States, including without limitation Canada, the United Kingdom, and the European Economic Area. Entrants may be required to present valid government-issued photo identification to verify name, age, and residency at the time of entry and as a condition of receiving the Prize. Employees, officers, directors, agents, and independent contractors (and their immediate family members and/or those living in the same household) of Holley Performance Products Inc. (the “Sponsor”), Powertrain Products, Inc. (“Powertrain Products”), and their respective parent companies, subsidiaries, divisions, affiliates, service agencies, prize suppliers, advertising and promotion agencies, and the owner and operator of the LS Fest East venue (collectively with Sponsor and Powertrain Products, the “Sweepstakes Entities”) are not eligible to participate or win. All federal, state and local laws and regulations apply. Void where prohibited by law. Any entry submitted by an ineligible person is void. If an ineligible person is selected in the drawing, that person will be disqualified and an alternate Entrant will be selected by random drawing in accordance with Section 5. For purposes of these Official Rules, “immediate family member” means a spouse, parent, child, or sibling, and each of their respective spouses, regardless of where they reside; and “living in the same household” means sharing the same residence for at least three (3) months during the twelve (12) month period preceding the start of the Sweepstakes Period, whether or not related. These definitions apply regardless of whether the relationship is by blood, marriage, adoption, or step-relationship.
3. How to Enter the Sweepstakes; Free Method of Entry: There are two (2) ways to enter this Sweepstakes. Both are free. No purchase or payment of any kind is necessary to enter or to win, and no purchase or payment will increase your odds of winning. Entries received by either method are pooled together in a single entry pool and have an equal chance of being selected in the drawing.
Method 1 — Entry station inside the event grounds. During the Sweepstakes Period, visit the Sweepstakes entry station located at [SPECIFY EXACT LOCATION INSIDE THE EVENT GROUNDS], which is open from [7:00 A.M.] CDT until 6:00 P.M. CDT on Saturday, September 12, 2026, and complete and submit the entry form in full. The LS Fest East event grounds are a closed facility, and a valid admission ticket is required in order to access them. No purchase or payment of any kind is required to enter this Sweepstakes, however, and any person who does not have an LS Fest East admission ticket may enter free of charge under Method 2 below.
Method 2 — Free sign-up kiosk at the gate (free method of entry). During the Sweepstakes Period, any person may enter this Sweepstakes free of charge, without purchasing, receiving, or otherwise obtaining an LS Fest East admission ticket, at the free sign-up kiosk located at 789 Beech Bend Park Rd., Bowling Green, KY, which is accessible to the general public from 7:00 A.M. CDT until 6:00 P.M. CDT on Saturday, September 12, 2026 — the same hours during which the entry station inside the event grounds operates. The free sign-up kiosk opens no later than, and closes no earlier than, the entry station inside the event grounds. No admission ticket, purchase, or payment of any kind is required to enter by this method. Entries submitted at the free sign-up kiosk are placed in the same entry pool and have exactly the same chance of being selected as entries submitted inside the event grounds under Method 1.
No admission or attendance is required in order to win. You do not need to be present at the drawing, and you do not need to enter the LS Fest East event grounds at any time, in order to enter this Sweepstakes or to win the Prize. The winner will be notified by email in accordance with Section 5. Accordingly, no purchase or payment of any kind, and no admission ticket, is required at any stage of this Sweepstakes.
The entry form for both methods requires your first and last name, a valid email address, and your affirmative agreement to these Official Rules and to the consent described in Section 10. Providing a mobile telephone number is optional and is not required to enter or to win.
Any individual wishing to enter the Sweepstakes must follow the above method of entry and all applicable instructions in order to be considered a valid entrant into the Sweepstakes (an “Entrant”). Limit one (1) entry per person for the entire Sweepstakes Period, regardless of the number of email addresses, names, or identities used. Should multiple users of the same email account enter the Sweepstakes and a dispute thereafter arise regarding the identity of the Entrant, the authorized account holder of said email account at the time of entry will be considered the Entrant. The “authorized account holder” is the natural person who is assigned an email address by an Internet access provider, on-line service provider or other organization which is responsible for assigning email addresses or the domain associated with the submitted email address. Entrants may not enter more than the above stated limit using multiple email addresses, nor may Entrants use any other device or artifice to enter as multiple Entrants more than once. Any Entrant who attempts to enter more than permitted by these Official Rules may be disqualified and will forfeit any and all prizes won, in Sponsor’s sole discretion. Automated entries are prohibited, and any use of automated devices will cause disqualification. Entries that are incomplete, illegible, or that do not include a valid email address and all required consents are void.
4. Winner Selection; Attendance Not Required: The Grand Prize Winner will be selected by random drawing from among all eligible entries received during the Sweepstakes Period. The drawing will be conducted live at approximately 6:15 p.m. CDT on Saturday, September 12, 2026, in “The Arena.” ENTRANTS ARE NOT REQUIRED TO BE PRESENT AT THE DRAWING IN ORDER TO WIN. Entrants are welcome to attend the drawing if they are on the event grounds, but attendance confers no advantage and is not a condition of winning. The drawing is conducted from a single pool containing all eligible entries received under both methods of entry described in Section 3, and each eligible entry has an equal chance of being selected. Decisions of Sponsor are final on all matters. Odds of winning depend on the number of eligible entries received.
5. Winner Notification and Claim: The selected Entrant will be notified by email sent to the email address submitted with that Entrant’s entry, sent within [twenty-four (24) hours] after the drawing. Sponsor may also announce the selected Entrant’s name aloud at the drawing and attempt to reach the selected Entrant by telephone if a telephone number was provided, but email to the address submitted with the entry is the official method of notification. It is the Entrant’s sole responsibility to provide a valid, monitored email address and to check that address, including any spam or promotions folder.
Claim deadline. The selected Entrant must respond to the notification email and complete the verification and documentation requirements in Section 6 within [five (5) business days] after the date the notification email is sent. If the selected Entrant does not respond within that period, if the notification email is returned as undeliverable after [two (2)] attempts, if the selected Entrant cannot be verified as eligible, or if the selected Entrant declines the Prize, that Entrant forfeits all rights to the Prize.
Alternate winners. In the event of a forfeiture, Sponsor will select an alternate Entrant by random drawing from among the remaining eligible entries and will notify that Entrant by the same method and on the same terms. Sponsor will repeat this process up to [three (3)] additional times, after which Sponsor reserves the right, in its sole discretion, not to award the Prize. Being selected in the drawing does not make an Entrant a winner. An Entrant becomes the winner only upon timely response to the notification email and satisfaction of all verification and documentation requirements in Section 6.
6. Prize, Approximate Retail Value (“ARV”) and Taxes: one (1) Grand Prize: Subject to verification of eligibility and compliance with these Official Rules, one (1) Grand Prize Winner will receive the following prize, which is provided by [Powertrain Products]:
ONE (1) [FULL ENGINE DESCRIPTION – make, model, displacement, build specification, serial or build number, and all included components and accessories; identify any excluded items]
Approximate Retail Value of Prize: $25,000.00
ARV is based on [Powertrain Products’] published retail price as of [DATE] and represents the fair market value of the Prize at that time. The actual value of the Prize may differ. Any difference between the stated ARV and the actual value of the Prize will not be awarded, and no compensation will be provided for any such difference.
The Prize is awarded “AS IS” and “WITH ALL FAULTS.” EXCEPT FOR ANY WRITTEN MANUFACTURER’S WARRANTY THAT ACCOMPANIES THE PRIZE AND IS EXPRESSLY IDENTIFIED IN THESE OFFICIAL RULES [IDENTIFY ANY WARRANTY OR STATE “NONE”], THE SWEEPSTAKES ENTITIES MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE PRIZE, AND EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
All costs and expenses not expressly identified above as included in the Prize are the sole responsibility of the winner, including without limitation installation; tuning, calibration, machining, or modification; ancillary parts, fluids, and components not listed above; transportation to and from the venue; any vehicle, trailer, or equipment required to load, secure, and transport the Prize; insurance; and all federal, state and local taxes.
Prizes are not transferable or redeemable for cash and must be accepted as awarded, with no substitutions of any kind, except by the Sponsor, which reserves the right to substitute a Prize (or portion thereof) with one of comparable or greater value, at its sole discretion. All Prize details are at the Sponsor’s sole discretion. Winners will not be entitled to a check or cash for the price difference of the Grand Prize and the approximate retail value of the Prize, if any.
The Entrant prize-winner is solely responsible for determining and paying all federal, state and local taxes (including any sales or use taxes) arising from the receipt, possession, use, transport, or delivery of the Prize. The full Approximate Retail Value of the Prize — $25,000.00 — is reportable as taxable income to the winner. Because the ARV exceeds $600, [Powertrain Products] will report the value of the Prize to the Internal Revenue Service on IRS Form 1099-MISC and will furnish a copy of such form to the winner. The tax the winner owes on the Prize may be substantial. If the winner fails or refuses to provide a valid taxpayer identification number on IRS Form W-9, backup withholding at the applicable federal rate (currently 24%) will be applied as required by law or, at Sponsor’s sole discretion, the winner will be deemed to have forfeited the Prize and an alternate winner may be selected. The Sweepstakes Entities do not provide tax advice, and Entrants and the winner are strongly encouraged to consult their own tax advisor.
The Entrant prize-winner is required to execute and return an Affidavit of Eligibility/Release of Liability, a completed IRS Form W-9, and a Publicity Release, in the forms provided by Sponsor, together with a legible copy of valid government-issued photo identification matching the name and address on the entry, within [five (5) business days] after the date the notification email is sent and in all events before the Prize is released or shipped. Because the winner is not required to be present at the drawing, Sponsor may require such additional reasonable proof of identity, age, and residency as Sponsor deems necessary to verify that the person claiming the Prize is the Entrant who submitted the selected entry. By entering the Sweepstakes, Entrant agrees to execute these documents and provide such proof if selected. Except where prohibited by law, failure to execute any of these documents, to provide requested proof of identity, or to comply with any of these terms will result in forfeiture of the Prize and selection of an alternate winner.
Prize Delivery: The winner must elect one of the following two delivery options in the winner’s response to the notification email described in Section 5. The election is final and may not be changed.
(a) Pickup. The winner may take possession of the Prize in person at [SPECIFY LOCATION], on a date and during hours designated by Sponsor and arranged in advance, following completion of the verification and documentation requirements in Section 6. If the winner is present at the LS Fest East event on Saturday, September 12, 2026 and completes those requirements on site, Sponsor may in its discretion release the Prize the same day. The winner is solely responsible for providing all vehicles, trailers, equipment, personnel, and tie-downs necessary to load, secure, and transport the Prize, and for doing so safely and in compliance with all applicable law. The Sweepstakes Entities are not responsible for loading, securing, or transporting the Prize and assume no liability for any loss, damage, injury, or expense arising out of the winner’s pickup or transport of the Prize. Risk of loss passes to the winner upon transfer of possession.
(b) Shipping. The winner may elect to have the Prize shipped to a single physical street address within the Continental United States or the District of Columbia. Shipping will be by common carrier selected by [Sponsor] and requires the winner to arrange for offloading at the destination. Shipping costs will be added to the final ARV with crating being borne by the Sweepstakes Entities; the estimated delivery window; whether a loading dock or liftgate is required will be based on destination and as required by shipping carrier. P.O. boxes and APO/FPO addresses are not eligible delivery addresses. The Sweepstakes Entities are not responsible for shipping delays, damage in transit, or costs of reshipment resulting from an incorrect or inaccessible address supplied by the winner. If the Prize is returned as undeliverable after [two (2)] attempts, the Prize will be deemed forfeited.
7. As a condition of entry into the Sweepstakes, Entrant agrees to RELEASE, DISCHARGE AND COVENANT NOT TO SUE Holley Performance Products Inc., Powertrain Products, Inc., and any other of the Sweepstakes Entities (as described above) and each of their respective direct and indirect affiliates, divisions, parent and subsidiary companies, officers, employees, volunteers, shareholders, representatives, managers, members, directors, owners, agents, insurers, attorneys, predecessors, successors, and assigns thereof (collectively, the Released Parties), from and against all claims, damages, charges, injuries, losses, proceedings, suits, actions (including but not limited to tort actions, product liability actions, wrongful death actions, warranty actions, breach of contract actions, privacy and defamation actions, misappropriation of likeness actions, identity theft, loss of consortium claims), expenses and attorney fees that they or anyone on their behalf (including but not limited to their heirs, representatives or next of kin) have or might have for any death, injury, damage or claimed injury or damage arising out of, involving or relating to their participation in the Sweepstakes and/or from or relating to any prize they win (including the receipt, ownership or use of the prize). This Release applies even if the act or omission complained of was caused in whole or in part by the strict liability or negligence in any form of the Released Parties.
Additionally, as a condition of entry into the Sweepstakes, Entrant agrees to INDEMNIFY, HOLD HARMLESS, AND DEFEND the Released Parties in any action or proceeding from and against all claims, damages, charges, injuries, losses, proceedings, suits, actions (including but not limited to tort actions, product liability actions, wrongful death actions, warranty actions, breach of contract actions, privacy and defamation actions, misappropriation of likeness actions, identity theft, loss of consortium claims), expenses and attorney fees that they or any third party has or might have for any death, injury, damage arising out of, involving or relating to Entrant’s participation in the Sweepstakes, the prize and/or for their failure to comply with the terms of the above release provision. This agreement to indemnify, hold harmless and defend applies even if the act or omission complained of was allegedly caused in whole or in part by the strict liability or negligence in any form of the Released Parties.
8. General Rules: Sweepstakes Entities do not warrant that access to the Sweepstakes will be uninterrupted. Sweepstakes Entities are not responsible for, and Entrants release and hold Sweepstakes Entities harmless for: (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the entry process or the Sweepstakes; (iv) electronic or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (v) any injury or damage to persons or property, including but not limited to Entrant’s computer or mobile/wireless device, hardware or software, which injury or damage may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes. In addition, Sweepstakes Entities are not responsible for late, lost, garbled/illegible, corrupted, jumbled, misdirected, damaged, incomplete entries regardless of cause, all of which are void.
The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the Sweepstakes; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes, including but not limited to any fraudulent claims, may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek remedies and damages (including attorneys’ fees) from any such person to the fullest extent permitted by law, including criminal prosecution. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor reserves the right to cancel or modify this Sweepstakes and to disqualify any Entrant for any reason, in its sole discretion, including (but not limited to) if, for any reason, the Sweepstakes is not capable of running as planned, whether due to infection by computer virus, bugs, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Sweepstakes. If such cancelation occurs, Sponsor reserves the right to select the winners from among all eligible Entries prior to cancellation.
Because the Sweepstakes drawing is conducted at a live event, the Sweepstakes Entities are additionally not responsible for, and Entrants release and hold the Sweepstakes Entities harmless for, any delay, relocation, suspension, or cancellation of the drawing or of the LS Fest East event caused by severe weather, act of God, fire, public health emergency, governmental action, venue closure, or any other cause beyond the reasonable control of the Sweepstakes Entities, and for any injury or damage to persons or property occurring at the venue. Sponsor reserves the right, in its sole discretion, to relocate the drawing within the venue or to adjust the time of the drawing, and will use reasonable efforts to announce any such change at the venue.
9. Disputes: Entrants/winners agree: (a) to release Sponsor, Sweepstakes Entities, and each of their directors, employees and agents, from any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees or court costs; (c) all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of Entrants/winner or the Sweepstakes Entities in connection with this Sweepstakes shall be governed by, and construed in accordance with, the laws of the Commonwealth of Kentucky, without giving effect to any choice of law or conflict of law rules of provisions (whether of the Commonwealth of Kentucky, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the state of Commonwealth of Kentucky. All entrants consent to the jurisdiction and venue of the state and federal courts located in Warren County, Kentucky; and (d) under no circumstances will Entrants/winners be permitted to obtain awards for and Entrants/winner hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. In the event of any conflict with any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in any Sweepstakes material (including but not limited to website content), the details of the Sweepstakes as set forth in these Official Rules shall prevail. Images of prize(s) as shown in any Sweepstakes materials, if any, are for illustrative purposes only. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms and if the invalid or illegal provision were not contained herein.
10. Publicity, Data & Marketing: Submission of an entry in the Sweepstakes constitutes permission to the Sweepstakes Entities to use Entrant’s name, identity, title, likeness, distinctive appearance, physical likeness, image, portrait, picture, photograph (whether still or moving), screen persona, voice, vocal style, statements, gesture, mannerism, personality, performance characteristic, biographical data, signature, social media handles and identities, and any other indicia or imitation of identity or likeness for purposes of advertising and trade, in any medium, without further notice, approval, or compensation, unless prohibited by law. Entrant acknowledges that the drawing will be conducted in a public setting and may be photographed, recorded, streamed, and broadcast.
Required consent. Entry into the Sweepstakes is voluntary, but submission of your email address and your agreement to the following is required in order to enter. If you do not consent, you may not enter the Sweepstakes.
Express disclosure of data sharing — this Section controls. The following disclosure is made directly in these Official Rules and does not depend on either Sweepstakes Entity’s privacy policy. To the extent anything in either privacy policy is inconsistent with this Section 10, this Section 10 controls with respect to the information you submit in order to enter this Sweepstakes.
What is collected. Only the following: your first name, your last name, your email address, and, if you choose to provide it, your mobile telephone number. No other personal data is collected through the entry form. No sensitive data as defined by KRS 367.3611 is requested, and none should be provided.
Who receives it. Two companies, each of which receives its own copy: Holley Performance Products Inc., 1A Burton Hills Blvd., Suite 240, Nashville, TN 37215; and Powertrain Products, Inc., [INSERT ADDRESS]. These are two separate companies and they are not affiliated with each other. No other party receives your information, except service providers acting on the documented instructions of one of them (for example, an email delivery provider) and as otherwise required by law.
Why. To administer this Sweepstakes, verify your eligibility, award and deliver the Prize, and satisfy tax reporting and recordkeeping obligations; and, separately by each company, to send you marketing communications about that company’s own products, services, events, and promotions.
Each company decides independently. Each of Holley and Powertrain Products acts as an independent controller of the copy of the information it receives. Neither company controls or is responsible for how the other uses the information. Each maintains its own separate marketing list and honors its own unsubscribe and privacy requests. A request submitted to one company has no effect on the other.
What will not happen. Neither Holley nor Powertrain Products will sell your personal data for monetary consideration, and neither will disclose it to any additional third party for that third party’s own marketing purposes.
How long it is kept. Entry records are retained for one (1) year in order to administer the Sweepstakes, resolve any dispute regarding the drawing or the Prize, and satisfy tax recordkeeping requirements. Marketing contact information is retained by each company until you unsubscribe or request deletion.
(a) Both Sweepstakes Entities receive your information. The name, email address, and other contact information you submit will be provided to and separately maintained by both Holley Performance Products Inc. and Powertrain Products, Inc. Powertrain Products is not affiliated with Holley. Each will act as an independent controller of your information and will use it in accordance with its own privacy policy for purposes of administering the Sweepstakes, adding you to its customer database, and contacting you in the future for promotional and other reasons.
(b) You may unsubscribe at any time. Every commercial email you receive from either Sweepstakes Entity will include instructions for unsubscribing from that entity’s future commercial email. You may unsubscribe from either or both at any time, including immediately after entering, and doing so will not affect your entry, your eligibility to win, or your right to receive the Prize if selected. Because each entity maintains its own list, unsubscribing from one will not unsubscribe you from the other; you must submit a separate request to each. To unsubscribe from Holley, use the “Unsubscribe” link in the footer of Holley’s emails or the method described in Sponsor’s Privacy Policy (available at www.Holley.com). To unsubscribe from Powertrain Products, [INSERT METHOD].
(c) Your privacy rights are not waived. TO THE EXTENT PARTICIPANT IS PERMITTED BY LAW OR COURT OF LAW TO PROCEED WITH A CLASS OR REPRESENTATIVE ACTION AGAINST A RELEASED PARTY, PARTICIPANT AGREES THAT: (I) PARTICIPANT SHALL NOT BE ENTITLED TO RECOVER ATTORNEYS’ FEES OR COSTS ASSOCIATED WITH PURSUING THE CLASS OR REPRESENTATIVE ACTION; AND (II) IF PARTICIPANT INITIATES OR PARTICIPATES AS A MEMBER OF THE CLASS THEY WILL NOT SUBMIT A CLAIM OR OTHERWISE PARTICIPATE IN ANY RECOVERY SECURED THROUGH THE CLASS OR REPRESENTATIVE ACTION.
